Potential Use of Regulation S

Regulation S offers issuers and others who qualify to use it the possibility of selling securities off-shore free of the registration requirements of the United States securities laws. Under the circumstances permitted in Regulation S, the purchaser of these securities may resell them into the US securities markets in "safe harbor" transactions defined in the Regulation. These safe harbor transactions sometimes have waiting periods before the securities can be resold. The proper use of Regulation S can be a very effective financing vehicle for issuers wishing to attract off-shore investors.
